BYLAWS 2007

 
ARTICLE I

The name of this organization, filed with the Secretary of State for the State of Texas, shall be Nacogdoches Boys Youth Baseball Association (NBYBA).

 
ARTICLE II - OBJECTS

Section 1.  The objects of NAA shall be to implant firmly in the minds of the youth of this community the ideals of good sportsmanship, honesty, loyalty, courage and reverence, so they may be finer, stronger, and happier individuals and will grow to be good, clean, healthy adults.

Section 2.  The objects shall be achieved by providing supervised competitive athletic games.  The supervisors shall bear in mind that the attainment of exceptional athletic skills or the winning of games is secondary and that the molding of good citizens is of primary importance.

 
ARTICLE III - MEMBERS

Section 1.  The membership of this organization shall be citizens of the Nacogdoches area who are interested in promotion of the objects of this association and have paid their child’s registration fee for the current year.

Section 2.  Commissioners and officers described in these bylaws shall automatically be the voting members of the Nacogdoches Boys Youth Baseball Association.

 
ARTICLE IV - PUBLIC MEETING

Section 1.  The annual meeting shall be held the second Tuesday in November, the time and place will be announced by the President of the Board of Directors (hereafter call the Board).  All Board members and Commissioners will be contacted at least five days prior to the meeting.  The purpose of this meeting is to elect the officers of the Board of Directors for the following year.

Section 2.  The Board of Directors shall meet once each month or as they feel necessary.  All Board members and Commissioners will be contacted at least five days prior to the monthly meeting.  The President or any three members of the Board may call special meetings, three days notice having been given to all members of the Board of Directors.

Section 3.  The Officers of the Board shall elect the Commissioners no later than the January Board meeting.

 
ARTICLE V - BOARD OF DIRECTORS

Section 1.  The officers of the Board of Directors of the NBYBA shall consist of the President, First Vice President, Second Vice President, Third Vice President, Secretary, Treasurer and Business Manager.  The officers will be elected at the annual public meeting of the NBYBA.

Section 2.  The remaining members of the NBYBA Board of Directors shall consist of six League Commissioners, one from each league.  Including the T-Ball league, the seven and eight year-old league, the nine and ten year-old league, the eleven and twelve year-old league, the thirteen and fourteen year-old league, and the fifteen through nineteen year-old league.  The Board will also have a Commissioner of Special Projects.  The elected members of the Board will appoint Commissioners no later than the January Board meeting.  A Commissioner may not be an officer of the Board, a coach, an umpire or a scorekeeper for the League in which they are Commissioner.

Section 3.   The Commissioners shall act as the nominating committee to nominate the Officers of the Board at the annual public meeting.  After the nominating committee has made its recommendations at the NBYBA public meeting, additional nominations may be made from the floor.  The slate of Officers for the Board will be chosen from these nominees.

Section 4.  Elected Board members shall be elected for a term of two years, can be reelected and will serve without pay.  These terms will be staggered to prevent depletion of experienced members from the Board.  The first year: President, Second Vice President, Treasurer, and Secretary.  The second year: First Vice President, Third Vice President, and Business Manager.  The Past President remains a non-voting member of the Board for two years after his term as President or until a new President is elected causing his position to be filled by succession.

Section 5.  When a vacancy occurs on the board, a person will be elected by the remaining members of the Board to fill that vacancy at a called meeting.
 
Section 6.  A simple majority (51%) of the Board shall constitute a quorum.


ARTICLE VI - DUTIES OF THE BOARD

Section 1.  The Board shall manage the affairs of the NBYBA within, or not specifically mentioned, in these Bylaws.

Section 2.  The Board of Directors, by a 2/3 vote at any duly constituted meeting, shall have the authority to suspend any Director whose conduct is considered detrimental to the best interest of this organization.

Section 3.  A financial report will be presented at each Board meeting.  All income shall be placed in a common treasury and expenditures are to be directed in a manner that will give no individual or team an advantage over another.

Section 4.  The Board shall hire a Chief Official of Umpires on the recommendation of the First Vice President.

Section 5.  The Board shall hire the Director of Concessions on the recommendation of the Second Vice President.

Section 6.  The Board shall approve a team coach for each team prior to the date of the annual draft.  A person wishing consideration as a team coach must submit a dated written request to the Board President who will then submit it to the Board of Directors for approval.  The Board may seek outside input in the coach approval process.

Section 7.  The Board must approve all fund-raising.

Section 8.  The Board shall perform such other duties as may be prescribed in these bylaws or assigned to them by the association.

 
ARTICLE VII - DUTIES OF THE BOARD MEMBERS

Section 1.  The President shall preside at all meetings of the NBYBA and Board.  He/she is the public relations person between the NBYBA and local news media, serves as ex officio on the commissioner’s council; performs such other duties as may be described in these bylaws or assigned to him by the Association and after all committee and board actions have been taken, is responsible for the NBYBA Summer and Fall Programs.

Section 2.  The First Vice President shall perform the duties of the President in the absence or disability of the President.  In case a vacancy occurs in the office of President, he shall call the election meeting to fill the vacancy.  The election meeting will be a closed meeting.  He/she is to oversee the duties of the Chief Umpire.  He/she is responsible for conducting one workshop for the umpires prior to the beginning of the season.  He/she will see that officials have copies of all NBYBA rules.  He/she will prepare the master schedule for the games of all leagues and may enlist the aid of additional persons for assistance.

Section 3.  The Second Vice President works directly with the City Of Nacogdoches Recreation Department and with the Director of Concessions.  This Vice President is responsible for the condition of the fields and the organization and management of all concessions.

Section 4.  The Third Vice President is the equipment manager.  He/she oversees the inventory of all equipment prior to the purchase of new equipment.  He/she works with the Business Manager to insure that adequate equipment is available in adequate supply prior to the season.  He/she is responsible for the purchase of all material and new equipment for the NBYBA.

Section 5.  The Secretary shall record the minutes of all meetings of the NBYBA and shall see that all Board members receive a copy of the minutes and shall be responsible for all correspondence of NBYBA.

Section 6.  The Treasurer is responsible for the funds of the Association and shall keep them in a bank approved by the Board, and shall keep a record of all donations and receipts of the NBYBA.

Section 7.  The Business Manager is responsible for getting bids on uniforms, pictures, and insurance each year for the NBYBA.


ARTICLE VIII - DUTIES OF COMMISSIONERS

Section 1.  The Commissioners of each League will recommend coaches to the Board of Directors for approval.

Section 2.  Before the draft, the League Commissioner will have an orientation for the coaches of his/her league.  He/she will see that each coach has a copy of the current Rule Book and NBYBA league rules.

Section 3.  All written protests must be submitted to the League Commissioner within 24 hours of the occurrence.  The written protest must be acted upon by the Commissioner within one week after the protest as been filed.  Protest actions or decisions must be made known to the coach and principle involved at that time.

Section 4.  The League Commissioner is responsible for posting current team standings in his/her respective leagues. 
Section 5.  The League Commissioner shall advise the Business Manager of any uniform needs or the Third Vice President of equipment needs in his/her league.

Section 6.  The League Commissioner shall conduct the draft of his/her league each year in accordance with the NBYBA draft rules and regulations.

Section 7.  The League Commissioner shall conduct the meeting of All-Star team selections for his/her league each year in accordance with NBYBA rules and regulations.

Section 8.  The League Commissioner may not be an officer of the Board, Coach, Umpire, Scorekeeper or Parent of a child playing in the League for which they are Commissioner.

Section 9.  The Commissioner of Special Projects responsibilities include but are not limited to supervising any tournaments the Association may host and supervising the fall baseball program.

Section 10. Commissioners shall serve on the Board of Directors for a one-year term. 

 
ARTICLE IX - SUPPORT PERSONNEL

Section 1.  The Board is responsible for employing personnel to fill the following positions:  a. Chief Official
                b. Director of Concessions

Section 2.  Commissioner’s Council.  The Commissioner’s Council consists of the Commissioner from each League and the Commissioner of Special Projects.  His peers will elect one of the Commissioners as Chairman of the Commissioner’s Council.  The Commissioner’s Council has the responsibility of arbitrating all disputes and protests, which cannot be properly resolved, by the action of the Commissioner representing the League in which the dispute occurred.  The role of the NBYBA President on the Commissioner’s Council is described under the duties of the President.  It must be emphasized that both the written and the intent of all rules and regulations governing the NBYBA will be upheld.

Section 3.  Team mothers will be under the direction of the Secretary and shall carry out their duties as deemed by the Secretary.

Section 4.  Team Coaches shall be under the direction of the League Commissioner.


ARTICLE X - LOCAL RULES AND REGULATIONS

All local rules and regulations in existence on this date as described in the NBYBA Local League Rules shall be strictly adhered to.  Any changes in these rules and regulations must be approved by a favorable vote of 2/3 of 3/4 of the entire Board of Directors at a duly constituted meeting.


ARTICLE XI - DIVISION DRAFT RULES AND REGULATIONS

All local league draft rules and regulations in existence on this date as described in the NBYBA Local League Rules shall be strictly adhered to.  Any changes in these rules and regulations must be approved by a favorable vote of 2/3 of 3/4 of the entire Board of Directors at a dually constituted meeting.


ARTICLE XII - ALL STARS AND ALL STAR COACHES

Section 1. Post season All Stars will be selected as follows: Players shall be elected by a majority vote of Head Coaches within each division.  The Coach with the best regular season record will be the Head Coach for that Division’s All-Star team.   The Coach with the second best record will be the First Assistant Coach.  The Head Coach selects the Second Assistant Coach.  The Head Coach shall select the thirteenth player.  Head Coaches will make all-Star selections only.  The Head Coach will replace any Coach not accepting a position on an All Star team.  If it is the Head Coach, the Coach with the second best regular season record will become the Head Coach.

Section 2.  The NBYBA does not provide financial support for teams or players involved in All-Star or Tournament play.

 
ARTICLE XIII - AMENDMENTS

These Bylaws or any section thereof may be amended or repealed by a favorable vote of 2/3 of 3/4 of the entire Board of Directors provide that written notice of each proposed change shall be given to each member of the Board of Directors at least fifteen days prior to the meeting at which such proposed change(s) shall be submitted to vote.

 
ARTICLE XIV - PARLIAMENTARY AUTHORITY

Section 1.  Robert’s Rules of Order, Newly Revised shall be the parliamentary authority for the NBYBA and the Board of Directors.


ARTICLE - XV

These Bylaws shall supersede any other Bylaws heretofore adopted by the NBYBA.  These Bylaws approved at the called meeting of the Board of Directors of Nacogdoches Boys Youth Baseball Association, Inc. on November 9, 2004.
